Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of TrueBudget (the “Service”), operated by TrueBudget(“we”, “us”, or “our”). By creating an account or using the Service, you agree to be bound by these Terms.
1. Eligibility
You must be at least 18 years old and a resident of the United States to use the Service. By creating an account, you represent that you meet these requirements and that the information you provide is accurate and complete.
The Service is designed for use by US-based sole proprietors filing Schedule C, single-member LLCs, and similar small businesses. It is not intended for use by publicly traded companies, financial institutions, or entities subject to specialized regulatory requirements.
2. Description of the Service
TrueBudget provides bookkeeping, time tracking, invoicing, spend categorization, tax estimation, and accountant-handoff features for small businesses. The Service may include automated workflows performed by software agents acting on your behalf, subject to the approval and policy settings you configure.
The Service is not a tax advisor, accountant, bank, payroll provider, or money transmitter. Tax estimates produced by the Service are estimates only and are not tax advice. You are responsible for reviewing and confirming all financial records before relying on them for any filing, accounting, or business decision.
3. Accounts and Security
You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized access. We may suspend or terminate accounts that we reasonably believe are compromised or being used in violation of these Terms.
4. Subscriptions, Trials, and Billing
The Service is offered on paid subscription tiers (Personal, Contractor, and Business) with optional monthly or annual billing. We offer a 14-day free trial without requiring a credit card at signup. A valid payment method is required to continue using the Service after the trial ends.
Subscription fees are billed in advance and are non-refundable except where required by law. You may cancel at any time; cancellation takes effect at the end of your current billing period. Failed payments may result in your account being placed in a read-only state until payment is resolved.
Payments are processed by Stripe, Inc. Your payment information is handled in accordance with Stripe's terms and privacy policy.
5. Your Data
You retain all rights to the data you submit to the Service, including financial records, transactions, invoices, receipts, and customer information (“Your Data”). You grant us a limited license to process Your Data solely to provide and improve the Service.
You can export Your Data at any time in standard formats (CSV, PDF). On account closure, Your Data is retained as described in our Privacy Policy.
6. Acceptable Use
You agree not to:
- Use the Service to launder money, evade taxes, or commit fraud;
- Upload data you do not have the right to use, or data that infringes the rights of any third party;
- Reverse engineer, decompile, or attempt to extract the source code of the Service;
- Interfere with the Service's operation, scrape it, or circumvent its rate limits or access controls;
- Use the Service to provide a competing product or service.
7. Third-Party Services and AI Sub-processors
The Service integrates with third parties, including Plaid Inc. (bank/card connections), Stripe Inc. (payments and billing), and email delivery providers. Your use of these integrations is subject to the respective third party's terms and privacy policy.
Certain automated and agent-driven workflows are powered by large-language-model providers, currently OpenAI, L.L.C. (“OpenAI”) and Anthropic, PBC (“Anthropic”). When we use these providers, prompts and the minimum necessary context (which may include transaction descriptions, category names, and similar business metadata) are transmitted to the provider for the sole purpose of producing the requested output. We use enterprise or API-tier endpoints whose terms prohibit the provider from training their models on your inputs and outputs. Our current list of AI sub-processors is described further in our Privacy Policy.
We are not responsible for the availability, accuracy, or actions of third parties. We may change sub-processors from time to time; material changes will be reflected in our Privacy Policy.
8. Accountant and Team Access
The Service allows you to invite collaborators (e.g., accountants, team members) with scoped, revocable access. You are responsible for the actions of users you invite while their access is active.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TrueBudget IS NOT A LICENSED TAX PREPARER, CPA, ATTORNEY, OR FINANCIAL ADVISOR. ANY ESTIMATES, CATEGORIZATIONS, OR REPORTS PRODUCED BY THE SERVICE ARE FOR INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE TAX, LEGAL, OR FINANCIAL ADVICE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUEBUDGET AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
11. Indemnification
You agree to indemnify and hold TrueBudget harmless from any claim, demand, or damages arising out of your use of the Service, your violation of these Terms, or your violation of any third-party right.
12. Termination
You may terminate your account at any time. We may suspend or terminate your account if you breach these Terms, if your payment is past due, or if continued provision of the Service would expose us to legal or operational risk. On termination, you may export Your Data for a reasonable period as set out in our Privacy Policy.
13. Service Modifications and Availability
We reserve the right to modify, add, remove, or discontinue any part of the Service at any time, with or without notice. We may also impose limits on certain features or restrict access to parts of the Service for operational, legal, or security reasons.
The Service is provided on an “as available” basis. We do not guarantee uninterrupted, error-free, or 100%-uptime operation. We may perform scheduled maintenance, and from time to time the Service may be unavailable due to factors outside our reasonable control (including outages at our hosting, bank-feed, payment, email, or AI sub-processors). Where reasonably practical, we will provide advance notice of planned downtime.
14. Changes to the Terms
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the Service. If you continue to use the Service after the changes take effect, you accept the updated Terms.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in San Francisco County, California, and you consent to personal jurisdiction there.
